Workshop: Directors' Liabilities and D&O Insurance in the UAE

This workshop will explore directors’ responsibilities and liabilities. Through a practical examination of statutory duties, governance frameworks, and enforcement trends, it will consider how directors can navigate their obligations under both onshore and free zone regimes, including the DIFC and ADGM. The session will also examine how breaches of duty may give rise to civil and criminal exposure, recent developments shaping D&O claims, and the increasing regulatory scrutiny faced by company officers and the session will address the fundamentals of D&O insurance and common challenges in ensuring adequate coverage for directors in today’s complex corporate environment.

  • The role, composition, and key responsibilities of directors under UAE corporate laws, along with the implications of breaching these duties
  • The distinctions between directors’ duties and liabilities in onshore companies versus those in the DIFC and ADGM, supported by recent case developments
  • The scope of directors’ potential criminal liability under UAE law and how it is applied in practice
  • Emerging trends and areas of exposure in D&O (Directors and Officers) claims, including regulatory, criminal, and shareholder-related risks
  • The fundamentals of D&O insurance, including key coverage issues and challenges commonly faced in managing director liability
